MEMORANDUM OF AGREEMENT BETWEEN RUHR UNIVERSITÄT BOCHUM BOCHUM, GERMANY CENTRAL MICHIGAN UNIVERSITY MT. PLEASANT, MICHIGAN, USA

This Agreement entered into this ____ day of _______, 200_, by and between RuhrUniversität Bochum (RUB) in Bochum, Germany and the Central Michigan University (CMU) in Mount Pleasant, Michigan, United States of America.

I.

Institutional and/or Organizational Information

Central Michigan University (CMU) is a public, doctoral research institution in the United States. CMU, with an enrollment of more than 18,000 on campus and more than 9,000 off-campus students, has eight colleges (Science and Technology, Education and Human Services, Humanities and Social & Behavioral Sciences, Business Administration, Health Professions, Communication and Fine Arts, Extended Learning, and Graduate Studies). CMU offers students their choices of 24 degrees and more than 200 programs of study. Ruhr-Universität Bochum (RUB) is a public, doctoral research institution in Germany. 33,000 students are enrolled on campus in more than 150 degree programs. RUB has 20 colleges (Fakultaeten) in the areas of Humanities, Social Sciences, Economics, Natural Sciences, Engineering, and Medicine.

II.

Goals and Objectives of the Agreement

The purpose of this agreement is to strengthen academic exchanges and cooperation between the two universities. Specifically, the institutions will exchange faculty members to teach courses in the humanities. The exchange will consist of an equal number of faculty members from each institution to teach for a minimum of one semester at the other institution. It is anticipated that at least one exchange (of a minimum of one faculty member from each institution) will take place during the time this agreement is in effect.

IV.

Institution Responsibilities

Following consultation among the history departments of both institutions, each institution will nominate to the other faculty members for the exchange. The decision of which faculty nominated by CMU to accept teach at RUB will be made by the Dean of the Faculty of History and /or the Dean of the Faculty of Philology at RUB and the decision of which faculty nominated by RUB to teach at at CMU will be made by the Dean of the College of Humanities and Social and Behavioral Sciences at CMU. The acceptance decision is to be communicated in a letter to the faculty member selected for

the exchange with copies to the chair of the History Department and the Director of the International Office at RUB and to the Chair of the Department of History and the Executive Director of the Office of International Affairs at CMU. Each faculty member’s salary will be paid by his or her home institution. The letters of acceptance from the Dean of the Faculty of History and/or the Dean of the Faculty of Philology and the Director of the International Office at RUB and from the Dean of the College of Humanities, Social Sciences and Behavioral Sciences at CMU will include details regarding the length of teaching assignment, the number of courses to be taught, provision of housing and/or a housing subsidy and any other services or financial support that may be provided at the discretion of the hosting institution.

The RUB initial liaison for this exchange will be the chair of the Department of History. The CMU initial liaison for the exchange will be the chair of the Department of History. Notification of all decisions regarding faculty nominated and accepted for exchange will be sent to the Director of the International Office at RUB and to the Executive Director of International Education at CMU. VI. Abiding by Institutional Policies Each party agrees to refrain from any action which violates established policies, procedures and practices of the other institution.

VII. Amendment, Duration, Extension/Renewal, Termination 1. This Agreement becomes effective when it is signed by the parties. This Agreement will remain in force through the end of August, 2014. 2. This Agreement is renewable by mutual consent of both parties. 3. This Agreement may be amended at any time by written consent of both parties. 4. Each institution may, with six months’ notice, terminate the Agreement in advance of the agreed upon expiration date, or request renegotiation of its conditions. Under such circumstances, faculty already participating in the program will be allowed to remain at the host institution under conditions spelled out at the time of their selection.

VIII. Other Terms 1. Both universities will implement the joint program according to this Agreement and will hold discussions to resolve any issues that occur during the implementation process. 2. Disputes arising concerning this Agreement shall be resolved by consultation between the liaisons for the two universities. If these liaisons cannot resolve the dispute, it shall be referred to higher representatives of each university. If it cannot be resolved by the higher representatives, it will be referred to the

presidents of the institutions. If these persons cannot resolve the dispute, the Agreement will be mutually terminated. Under such circumstances, faculty already participating in the exchange will be allowed to remain at the host institution under conditions spelled out at the time of their selection. 3. Both CMU and RUB will hold the other harmless and keep the other indemnified from and against all claims, demands, losses, damages, costs and expenses that one party may sustain or incur in consequence or arising out of this joint program. 4. No party to this Agreement shall be deemed to be in default of or shall be liable for the non-performance of any obligation in this document if such nonperformance is caused by or attributable to any occurrence which is beyond the reasonable control of the party affected FOR CENTRAL MICHIGAN UNIVERSITY
